Per-Se to acquire NDCHealth in $1bn deal - Computer Business Review.
Health care business process outsourcing and services provider Per-Se Technologies this week announced that it would buy services and software vendor NDCHealth Corp as part of a multi-party transaction valued at approximately $1bn.
Under the deal, Per-Se will acquire NDCHealth's physician, hospital and retail pharmacy businesses for around $665m, including the refinancing of NDCHealth's debt of some $270m.
Meanwhile, Dutch publishing group Wolters Kluwer will buy NDCHealth's drug information management division for $382m for cash.
NDCHealth shareholders will receive $19.50 per share as a result of the deal, including at least $13.00 in cash and as much as $6.50 in Per-Se stock.
Per-Se, which had revenue of $352.8m in 2004, expects the acquisition to boost its revenue base by more than 60%, to $590m, on a trailing 12-month pro forma basis as of the end of Q2 2005.
The company said the deal would result in an improved, complimentary revenue cycle management solution for health care providers. NDCHealth said the deal would expand the customer base and product offerings of both Per-Se and Wolters Kluwer.
The deal is subject to approval from Per-Se and NDCHealth shareholders. The companies expect the deal to close in the next three to six months.
